1. About these Terms
These draft Terms of Service (“Terms”) describe proposed rules for using the Ascera mobile application, the ascera.life website, and related features and services (together, the “Service”). “Ascera,” “we,” “us,” and “our” refer to Ascera, Inc., a Texas corporation. “You” means the individual using the Service.
Draft status: This document is not a final contract and is not intended to take effect. It remains subject to review and approval by Ascera’s founders and legal counsel. If you need the terms that currently govern a purchase or account, consult the terms shown by the applicable app store and contact support@ascera.life.
2. The Service and your agreement
Ascera is an AI-assisted personal-development and reflective-mentorship service. Depending on the version and your subscription, the Service may include conversations with an AI mentor, reflection and check-in tools, guided practices, saved history, and personalized context. Features may change as the product is developed.
In the final Terms, using the Service or creating an account may constitute acceptance of the then-current Terms. Before this draft can become operative, Ascera must decide how it will present the final Terms and record a user’s acceptance where required.
3. Eligibility and accounts
The Service is designed for adults and is not directed to anyone under 18. The final Terms are expected to require users to be at least 18 years old, or the age of legal majority where they live if that age is higher. A parent or guardian may not create an account on behalf of a minor unless Ascera expressly enables that use in a future written policy.
You are responsible for the accuracy of the information you provide, keeping access to your sign-in email secure, and activity that occurs through your account. Do not share account credentials or let another person use your account in a way that violates the final Terms. Tell us promptly at support@ascera.life if you believe someone has accessed your account without permission.
4. AI-generated responses; no professional or emergency service
Ascera uses automated systems, including generative artificial intelligence, to provide responses and personalize parts of the Service. An AI response may be inaccurate, incomplete, outdated, biased, or unsuitable for your circumstances. It is not a statement by a human professional. You should use your own judgment, verify important information, and seek qualified help where appropriate.
The Service is for general reflection and personal development. It is not psychotherapy, counseling, medical or mental-health care, diagnosis, treatment, legal advice, financial advice, or a substitute for a licensed professional. Using the Service does not create a therapist-client, physician-patient, attorney-client, fiduciary, or other professional relationship with Ascera or an AI system.
The Service is not an emergency or crisis-response service. It is not continuously monitored by a person and cannot guarantee that it will recognize or respond to an emergency. Do not use it to seek urgent help. If you or someone else may be in immediate danger, contact local emergency services or a qualified crisis resource in your area.
5. Your content and feedback
You retain any rights you have in the words, reflections, messages, and other material you submit to the Service (“User Content”). You give Ascera a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, and process User Content only as reasonably necessary to operate, secure, maintain, and improve the Service, provide features you request, comply with law, and enforce the final Terms. This license ends when the relevant User Content is deleted from the Service, except for copies retained in backups, records, or systems where deletion is not immediately practicable or where retention is legally required.
You are responsible for your User Content and must have the rights needed to submit it. Do not submit material that you are not allowed to share or that violates another person’s rights or the law. Do not submit another person’s sensitive information unless you have a valid basis and permission to do so.
If you send ideas or suggestions about Ascera (“Feedback”), you permit Ascera to use them without restriction or payment, unless applicable law requires otherwise. This permission does not transfer ownership of your User Content.
Review required: Confirm this license precisely matches the product’s data flows, AI-provider arrangements, model-training settings, deletion practices, and Privacy Policy. These Terms do not make a promise about whether a provider uses data to train models; that must be stated accurately in the Privacy Policy and product disclosures.
6. Acceptable use
You may use the Service only for lawful personal purposes and in accordance with these Terms. You may not:
- use the Service to threaten, harass, exploit, defraud, or harm another person;
- upload malware, attempt unauthorized access, interfere with the Service, or probe or bypass its security;
- reverse engineer or copy the Service except where applicable law gives you a right that cannot be restricted;
- scrape, harvest, or collect information from the Service by automated means without our written permission;
- use the Service or its outputs to build or train a competing service where prohibited by law or the final Terms;
- misrepresent AI-generated material as professional advice or as a statement from a real person; or
- use the Service in a way that violates law, another person’s rights, or a third-party platform’s applicable rules.
We may investigate suspected misuse and take proportionate action to protect users, the Service, or others, subject to applicable law and any notice or appeal rights required by law.
7. Ascera’s intellectual property
Ascera and its licensors own the Service, including its software, design, names, logos, text, graphics, and other materials, excluding User Content and third-party materials. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose while you comply with the final Terms. No other rights are granted by implication.
Any output generated for you is provided for your personal use in connection with the Service. Its availability, uniqueness, and accuracy are not guaranteed. It may resemble content generated for other users or include material subject to third-party rights. Founder/counsel review: Decide whether users may use outputs outside the Service and under what conditions.
8. Subscriptions, trials, and billing
Some features require a paid subscription. Subscriptions offered in the mobile app are purchased through the applicable platform, such as Apple’s App Store or Google Play. The platform processes the payment; Ascera does not receive or store your complete payment-card number.
Before you confirm a purchase, the platform’s purchase screen will show the plan, billing period, amount charged, applicable taxes, and any introductory offer for which the platform says you are eligible. Plan availability, currency, price, trial length, renewal date, and eligibility can vary by platform, storefront, account, and offer. The purchase screen and platform receipt control the terms of the particular transaction.
If an offer includes a free trial or other introductory period, it may automatically convert to a paid subscription at the price and billing interval shown before purchase unless you cancel before the platform’s stated deadline. A trial is not guaranteed to be available to every user or for every plan. Do not rely on an offer unless it appears in your purchase flow.
Unless you cancel, a subscription renews automatically for another period of the same length at the then-current renewal price shown by the platform, subject to any required notice or consent for price changes. The platform may charge the payment method associated with your store account. You authorize the applicable platform to charge those amounts while your subscription remains active.
You can manage or cancel a subscription through the subscription settings for the store where you purchased it. Deleting the Ascera app or signing out does not, by itself, cancel a store subscription. If you cancel, the cancellation generally stops the next renewal and access continues through the already-paid period, unless the platform, applicable law, or a refund decision provides otherwise.
Current configuration note, for review: Ascera’s U.S. iOS storefront has displayed monthly and annual plans at $49.99 per month and $479.99 per year, with a one-week introductory offer for eligible users. Google Play offer setup is still being completed. Confirm all current storefronts, prices, trial eligibility, billing dates, tax disclosures, and platform flows before replacing this draft notice with final Terms.
9. Cancellations and refunds
Subscriptions are billed and managed by the store through which they were purchased. To request a refund, use the applicable store’s refund process. Apple and Google make refund decisions under their policies and applicable law; Ascera cannot promise that a store will approve a request. Nothing in these draft Terms limits any refund, cancellation, or other right that applicable law gives you.
If you believe a purchase or subscription is not appearing correctly in Ascera, contact support@ascera.life. We can help troubleshoot account access and direct you to the correct store for billing questions.
10. Privacy
Our Privacy Policy explains how Ascera collects, uses, stores, and shares personal information. Read it before using the Service. If these Terms and the Privacy Policy address different subjects, the Privacy Policy governs privacy practices and these Terms govern use of the Service, subject to applicable law.
11. Third-party services and app stores
The Service may rely on third-party services, including app-store billing, authentication, hosting, analytics, crash reporting, speech recognition, and AI providers. Third-party services may have their own terms and privacy practices. Ascera is not responsible for third-party services that it does not control, except where applicable law provides otherwise.
If you download the app from Apple’s App Store, Apple and its subsidiaries are third-party beneficiaries of the applicable final end-user license terms to the extent described in Apple’s standard or custom EULA. Google Play users are also subject to the applicable Google Play terms. Open decision: Ascera has not yet selected whether it will use Apple’s standard EULA or a custom EULA. This section must be reconciled with that decision and with the final app-store agreements.
12. Availability and changes
We may update, suspend, or discontinue parts of the Service for operational, security, legal, or product reasons. Where required, we will provide notice or a remedy. We will not use this section to take away a paid benefit in a way that violates applicable law or the terms of your purchase.
13. Suspension and termination
You may stop using the Service at any time. Closing your Ascera account does not cancel a subscription purchased through an app store; cancel it separately through that store. For an account or data deletion request, contact support@ascera.life and review the process described in our Privacy Policy.
We may suspend or terminate access if reasonably necessary to address a material breach, fraud, security risk, or legal requirement. Where practicable and legally permitted, we will give notice and a chance to resolve the issue. If we discontinue a paid Service before the end of a period you purchased, any refund or other remedy will be handled in accordance with applicable law and store policies.
14. Disclaimers
This is a draft clause for legal review. To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties beyond those that cannot lawfully be excluded. Ascera does not warrant uninterrupted, secure, error-free, or universally compatible operation, or that AI responses will be accurate or meet your needs. These draft Terms do not exclude any warranty or consumer right that applicable law does not allow Ascera to exclude.
15. Limits on liability — counsel decision required
No liability cap or exclusion is selected in this draft. Before publication as final Terms, counsel should propose language that accounts for direct and indirect damages, the treatment of subscriptions and consumer losses, and any non-waivable rights under applicable law. No final liability limit is intended to be agreed through this draft page.
16. Indemnity — counsel decision required
No user indemnity is included in this draft. Counsel should advise whether any narrow indemnity is appropriate for a consumer-facing service and how it must preserve rights that cannot be waived under applicable law.
17. Governing law and disputes — founder/counsel decision required
Ascera, Inc. is organized in Texas, but the governing-law clause, court venue, dispute-resolution process, and any arbitration or class-action provisions have not been selected. No arbitration agreement, class-action waiver, or forum restriction is included in this draft. Counsel should prepare this section after confirming applicable law and the company’s preferred dispute process. Any final version must preserve rights and remedies that applicable law makes non-waivable.
18. Changes to these Terms
When these Terms are finalized, we expect to post the current version at this URL and update the “Last updated” date. For material changes, we will provide notice or seek renewed consent when required by law. The final Terms must state when a change takes effect and how a user may respond if they do not agree.
19. General terms
The final Terms should explain how they interact with any additional written terms, whether a provision can be severed if invalid, how a delay in enforcement is treated, whether and when Ascera may assign its rights, how electronic notices are delivered, and which language controls if translations differ. Those details are reserved for counsel review; this draft does not choose a governing language or assignment rule.

Founder and counsel review checklist
These are editorial questions, not contract terms. Resolve them and remove this checklist before the page is adopted as final:
- Verify the contracting entity, entity name, Texas status, mailing address, and support/legal contact details against current corporate records.
- Confirm the adult-only eligibility rule matches the product, onboarding, age-rating, and enforcement practices.
- Confirm all current platform plans, prices, trial lengths, conversion timing, renewal periods, cancellation pathways, taxes, and refund routes.
- Complete Google Play configuration and compare its actual offer behavior with this text. Keep trial terms conditional on the offer shown at checkout.
- Reconcile the User Content license and AI-provider disclosure with the Privacy Policy, data-processing agreements, model-training settings, retention, and account-deletion implementation.
- Approve the AI and safety disclaimers, including the Service’s boundaries around therapy, health advice, crisis support, and human monitoring.
- Decide on output ownership and permitted uses, acceptable-use enforcement, and any content-moderation or appeals process.
- Choose and obtain counsel-approved disclaimers, liability allocation, governing law, venue, dispute process, and whether any arbitration or class-action clause is appropriate.
- Choose Apple’s standard EULA or a custom EULA and align the mobile app, App Store metadata, Google Play listing, Privacy Policy, and website footer.
- Have counsel review all applicable federal, state, and international consumer, subscription, privacy, and AI-related requirements before this draft is made operative.
- After approval, remove this banner and checklist, set the effective date, record founder approval, and publish a final version at this stable URL.
